These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Priset Pty Ltd (ACN 691236272), an Australian company based in Sunshine Coast, Queensland ("Priset," "we," "us," or "our").
By accessing our website, downloading, installing, or using the Priset software and any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms.
Priset provides an AI-enabled software development orchestration tool (the "Harness" or "Glass Box") designed to assist developers by automating and accelerating various parts of the software development lifecycle. The Service operates within your local integrated development environment (IDE) under a Bring Your Own Key (BYOK) architecture.
To utilize the generative features of the Service, you must provide a valid API key from a supported third-party AI provider (e.g., Google Gemini, Anthropic Claude, or OpenAI ChatGPT). Priset acts solely as the orchestration layer; your source code is never stored, archived, or trained upon on Priset's servers.
Subject to your compliance with these Terms, Priset grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Service for your internal business or personal purposes, as permitted by your chosen subscription plan (e.g., Free, Pro, Team, Enterprise).
To access certain features of the Service, you must register for an account. You agree to:

You agree not to misuse the Service or help anyone else to do so. You agree you will not:
You retain all ownership rights, title, and interest in and to the source code, files, and other data you create, manage, and process using the Service ("User Content"). We do not claim any ownership over your User Content. Our "Ironclad Privacy" principle ensures that your User Content is not stored on our server and is never viewed by us.
To operate and provide the Service, you grant Priset a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, and transmit your User Content solely as necessary to: (a) provide the Service to you, including transmitting it directly to your selected third-party AI service provider via your API key; and (b) comply with applicable law. This license is limited in purpose and lasts only as long as is necessary to provide the Service to you.
To the fullest extent permitted by law, you own the code and other content generated for you by the Service ("Output"). You are free to use the Output for any purpose, including commercial purposes.
However, you acknowledge that due to the nature of machine learning, the Output may not be unique, and other users of the Service may receive identical or similar Output. We make no warranty or representation as to the originality, accuracy, or suitability of the Output.
IMPORTANT: AI Hallucinations and Verification. You explicitly acknowledge that Artificial Intelligence systems can and do "hallucinate," meaning they may generate code that is syntactically correct but functionally flawed, insecure, or completely incorrect. You are solely responsible for reviewing, testing, securing, and ensuring the compliance of any Output before implementation or deployment. You agree that you will not rely solely on the Output without independent human verification.
All rights, title, and interest in and to the Service itself, including the software, website, logos, graphics, and all other intellectual property, are and will remain the exclusive property of Priset and its licensors. The Service is protected by copyright, trademark, and other laws of Australia and foreign countries.
You are free to stop using the Service and terminate your account at any time. We reserve the right to suspend or terminate your access to the Service, at our sole discretion, without notice or liability, if you breach these Terms.
Upon termination, your license to use the Service will immediately cease.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Priset does not warrant that the Service will be uninterrupted, secure, or free from errors, bugs, or viruses. You are responsible for the final review and implementation of any code or suggestions provided by the Service.
WAIVER OF DAMAGES FOR AI OUTPUT: YOU AGREE THAT PRISET SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGES, LOSSES, OR CLAIMS ARISING FROM YOUR USE OF OR RELIANCE ON ANY AI-GENERATED CODE OR SUGGESTIONS ("OUTPUT"). THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES CAUSED BY SECURITY VULNERABILITIES, LOGIC ERRORS, "HALLUCINATIONS," OR INCOMPATIBILITIES CONTAINED WITHIN THE OUTPUT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Priset, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL Priset's AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100) OR THE AMOUNTS PAID BY YOU TO Priset FOR THE USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
The Service's functionality is dependent on third-party API availability. Priset makes no warranties regarding the availability, accuracy, security, pricing, or performance of your chosen third-party API provider. We are not liable for any issues, damages, or losses arising from the failure, interruption, or billing actions of such third-party services.
You agree to defend, indemnify, and hold harmless Priset and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees), resulting from or arising out of your use and access of the Service or a breach of these Terms.
The Service integrates with and relies upon third-party APIs (such as Google Gemini, Anthropic Claude, and OpenAI ChatGPT). Your use of the Service constitutes your acknowledgment of this dependency. You are solely responsible for obtaining, maintaining, and securing your API keys.
Your use of these third-party engines is subject to the respective terms of service, acceptable use policies, data governance, and privacy policies of the provider you choose. Priset is not responsible for any security breaches, data retention practices, or model training conducted by your chosen third-party provider. For strict enterprise IP protection and zero-retention guarantees, we strongly recommend routing your proprietary logic exclusively through the Google Gemini API.
These Terms shall be governed and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of law provisions.
You agree to submit to the exclusive jurisdiction of the courts located in Brisbane, Queensland, to resolve any legal matter arising from these Terms.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. When we update the Terms, we will use reasonable endeavours to provide you with at least 30 days' notice prior to any new terms taking effect. Any changes to the Terms take immediate effect from the date of their publication. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
